Group Legal Manager and Company Secretary

An opportunity has now arisen for a commercial solicitor to join the business as Group Legal Manager & Company Secretary. This is a strategically involved role which requires the successful candidate to be a key leader within the organisation; whilst also remaining hands-on and actively involved in the provision of the Group's legal and company secretarial matters.
Reporting to the Group Finance Director, you will be responsible for the oversight and co-ordination of all legal and statutory matters within the Group. This will include: legal aspects of commercial and operational business matters in the UK and abroad; the creation, implementation and monitoring of Group policies and processes; and corporate governance and company secretarial duties, including attendance at Board meetings and various sub-committees.
Key accountabilities of the role include:
Legal: advising the Board and Senior management team on all legal matters; day-to-day management and advice on general commercial matters; management of commercial legal disputes; leading on all legal aspects of due diligence, including those related to acquisitions or disposals; providing analysis and decision-making support to the Group Executive team; supporting the FD in his role as the Group Bribery Officer; assisting the Head of Internal Audit in the preparation and expansion of audit work tasks; overseeing and managing external legal relationships; oversight of all Group insurance matters and the Group's trademark/IP portfolio; and ensuring overseas subsidiaries are compliance with Group legal policies and local statutory filings.
Company Secretarial: advising the Board on internal protocols and procedures; supervising and overseeing the outsourced company secretarial activities of UK subsidiaries; ensuring the Annual Calendar and individual agendas are set; ensuring company secretarial compliance for all Group entities; ownership of the end-to-end production of the Plc Annual Report and Accounts; management and oversight of stock exchange compliance matters; and assuming the overall statutory duties of Company Secretary for Renold Plc.
The ideal candidate will have a strong commercial legal and/or corporate law background, ideally with existing experience of working in industry or directly advising engineering/manufacturing businesses. Whilst a familiarity with Company Secretarial duties is not a pre-requisite, any experience in this area, particularly if gained in a UK listed Plc environment, is advantageous.
The successful candidate must be technically, strategically and administratively strong, be capable of translating business issues into technical legal solutions, and vice versa, and be proactive in identifying risks or areas where legal input is required.
Pivotal to the role will be strong influencing skills, effective communication and co-ordination skills, an ability and willingness to challenge and support the organisation, and a down to earth approach.
