Company Secretarial appointment, Yorkshire

This highly successful, multi sector, international business, is a Yorkshire institution. It has both a long history and impressive recent growth, pointing towards a continuing successful future. Based in Harrogate, North Yorkshire, it has exceptional brand awareness, very positive corporate values, and is seen as an exceptional employer in the region.

A rare opportunity has arisen for an experienced company secretary to join the business and take a wide ranging role comprising core elements of Board Support, Compliance, Governance, Legal and Insurance.
This is a challenging role at a business which is looking to hire an individual with experience in strong governance, compliance and company secretarial matters, as the business grows and tackles a variety of regulatory and environmental challenges. There is a small legal and compliance team which would comprise your direct reports. You would also work very closely with the senior management team and offer traditional company secretarial board support, as well as the wider aspects of the role. As the business is not listed, the formal reporting requirements of a FTSE listed business are not present. The remit of the role would include:

- Board support: Drafting annual reports, meeting scheduling, regular meetings with the Chair
- Company Secretarial: AGM's, Companies House documents, data protection registrations, share register
- Governance: Chair of committee, leading and developing policies, actioning procedures
- Compliance: Chair of GDPR compliance committee, Security Board, Compliance Risk Register
- Insurance: Oversees and manages the Group's insurance programme

This is a role which would suit a company secretary, or highly experienced assistant company who is used to taking the 'lead role' in the governance team. ICSA Qualification or equivalent preferred but not necessarily essential. Your communication style will be open, honest and clear, and you'll demonstrate high levels of integrity and professionalism. It is a collaborative environment: if titles and hierarchy are your thing then this opportunity is not for you. If, however, you have broad business experience and understanding, a track record of working cross functionally and at Board level, demonstrate delivery of compliance and governance programmes, and ideally a strong understanding of risk and insurance, then we'd like to hear from you.
