A Vault top-30 ranked elite international Law Firm is seeking an associate to join its Chambers-ranked Capital Markets group in New York. The team advises leading domestic and international clients on a broad range of public and private offerings of debt, equity, and hybrid securities, as well as related corporate and regulatory matters. The role provides substantial exposure to high-profile investment-grade, high-yield, and cross-border transactions.
Key Responsibilities
* Draft and negotiate offering memoranda, underwriting agreements, indentures, prospectuses, and related disclosure documents.
* Advise clients on U.S. securities law compliance, SEC reporting obligations, and other regulatory matters.
* Support complex cross-border capital markets transactions, coordinating with international offices and local counsel.
* Conduct due diligence on issuers and counterparties and identify potential legal and regulatory risks.
* Collaborate with partners and senior associates to provide strategic, commercially-minded advice to clients.
* Assist with liability management, tender offers, and exchangeable or convertible securities transactions.
* Maintain awareness of evolving capital markets trends, regulations, and market practices.
Qualifications
* J.D. from an ABA-accredited law school.
* Admission to a U.S. state bar (New York preferred).
* Strong academic record and proven interest in capital markets, securities law, or corporate finance.
* Excellent drafting, analytical, and oral communication skills.
* Ability to manage multiple projects under tight deadlines in a fast-paced environment.
* Demonstrated teamwork and professional judgment, with attention to detail and commercial awareness.
Experience
* 1-3 years of experience in capital markets, corporate finance, or securities-related practice is preferred, but exceptional recent graduates may be considered.
* Exposure to investment-grade, high-yield, or cross-border securities offerings is a plus.
