Corporate Associate 1+ PQE - Leeds An award-winning global firm is looking for a Corporate Associate to join their fast growing team in Leeds. This is a great opportunity for an ambitious junior lawyer be involved in high quality work and transactions from the outset and progress quickly through the ranks. This is a highly regarded international firm which act as trusted adviser to a wide portfolio of clients across a wide range of specialist sectors from transport and logistics and international trade, through to retail, insurance, marine, health, education, manufacturing, public sector and banking and financial services. The opportunity is with the successfully growing Corporate team based in their Leeds office. The team have substantial experience across the full spectrum of Corporate matters including M&A, private equity, equity capital markets, business sales, joint ventures and corporate reorganisations. This particular role will focus on M&A work, with the following key responsibilities: - Supporting on mergers or acquisitions or disposal transactions for corporate clients - Supporting/leading acquisition and disposal of business and assets and/or shares - Supporting on public company transactions, such as IPO's or equity fundraisers - Supporting/leading due diligence exercises, data room reviews or management and disclosure processes (be it in relation to buy side or IPO legal due diligence work or sell side legal disclosure work) - Supporting on and reviewing investment documents either acting for investing institutions or management teams on PE backed transactions or placing agreements. - Drafting and negotiating the terms of transaction ancillary documents (such as completion board minutes, deeds of waivers, resignation letters, Companies House forms etc.) - General corporate work including corporate restructurings, shareholders agreements, joint ventures and limited liability partnership agreements, specifically drafting the principal documents - Assisting with business development and tenders including (where appropriate) research about clients and targets You can expect exposure to high-profile candidates from the outset, a market-leading salary from c.£55k upwards, as well as hybrid working and a wide range of other benefits.
