Emerging Companies & Venture Capital Associate (4th-7th Year)
Location: Flexible within U.S. offices
A mid-level associate with 4-7 years of experience advising growth-stage companies and venture capital investors, currently practicing within a top-ranked emerging companies and venture capital (ECVC) group. This attorney brings a dual-sided perspective, handling high-value venture financings while serving as a trusted advisor to founders, executives, and investment teams.
In this role, the associate counsels innovative clients-ranging from seed-stage startups to pre-IPO unicorns-on core corporate matters such as entity formation, governance, capitalization, and financing strategy. Simultaneously, they support institutional investors in negotiating and closing a wide array of venture investments. The associate works across dynamic sectors including artificial intelligence, fintech, digital health, and life sciences, providing strategic guidance on complex legal issues that span corporate law, commercial transactions, and fundraising.
Key Responsibilities:

Advise early- and late-stage companies on formation, corporate structuring, and equity matters

Draft and negotiate financing documents, including SAFEs, convertible notes, and preferred stock investment agreements
*
Represent institutional investors in venture rounds, managing negotiations and deal execution
*
Provide ongoing counsel to company-side clients on governance, commercial contracts, and legal strategy
*
Collaborate with internal teams on IP, employment, and compliance matters affecting startups and high-growth clients
Candidate Profile:

4-7 years of relevant experience from a top-tier law firm or ECVC-focused practice
*
Substantial exposure to venture financings, cap table analysis, and private company counseling
*
Strong interpersonal skills and a demonstrated passion for working with emerging companies and investors
*
Comfortable managing client relationships, taking initiative, and advising on fast-paced, time-sensitive matters
*
Admitted to practice in a U.S. jurisdiction
