Corporate Associate - M&A, Private Equity & Capital Markets (3rd Year+)
Locations: New York, Chicago, Los Angeles, Palo Alto, or San Francisco
An experienced corporate associate with 3+ years of relevant experience in private equity, mergers and acquisitions, and capital markets transactions. This attorney has developed a broad transactional background within a leading corporate practice, regularly advising clients on sophisticated deals across a range of sectors.
Key responsibilities include managing due diligence, drafting and negotiating acquisition and investment agreements, and overseeing transaction closings. The associate is known for being proactive, detail-oriented, and a strong team player who is comfortable taking on significant responsibility and working closely with both senior attorneys and clients.
Key Experience and Responsibilities:

Advises on private equity transactions, public and private M&A, and capital markets offerings.

Oversees due diligence efforts and coordinates with deal teams and subject matter experts.

Prepares and negotiates transaction documents, including stock and asset purchase agreements, merger agreements, and offering documents.

Manages closings and supports clients throughout all phases of the deal process.

Regularly engages with partners, clients, and counterparties across diverse industries.
