A mid-level Corporate Associate with strong transactional experience and bilingual fluency in Mandarin and English, currently practicing at a New York-based law firm known for its focus on securities and corporate matters for emerging growth companies, cross-border clients, and public companies. This attorney has 3-5 years of experience in U.S. securities law, capital markets transactions, and general corporate counseling, including experience with registered offerings and public company reporting obligations. The associate is well-versed in advising both domestic and international clients-particularly those from Asia-on a variety of complex corporate transactions, including IPOs, follow-on offerings, mergers and acquisitions, reverse mergers, and SPAC-related deals. They are comfortable working with issuers, underwriters, and investors, and are familiar with navigating SEC regulations and stock exchange requirements. This attorney is proactive, detail-oriented, and client-focused, often acting as the day-to-day contact for both U.S. and foreign clients. Their bilingual language skills are instrumental in managing communications, drafting bilingual documentation, and advising cross-border businesses, particularly those entering or expanding in U.S. markets. Key Experience and Skills: * Hands-on experience with registered securities offerings, including drafting registration statements, prospectuses, and SEC filings (Forms S-1, S-3, 10-K, 10-Q, 8-K, etc.). * Strong understanding of Exchange Act reporting, public company compliance, and SEC disclosure obligations. * Experience representing clients in mergers, acquisitions, corporate restructurings, and general corporate governance matters. * Fluency in Mandarin and English, with the ability to communicate effectively in both languages with clients, regulators, and internal stakeholders. * Strong interpersonal skills and ability to build trust and credibility with entrepreneurs, C-suite executives, and cross-border clients. * Admitted to the New York Bar and authorized to work in the United States.
