Corporate Associate - Crypto & Web3 Focus (3rd-6th Year) Preferred Location: San Francisco | Other Locations: Los Angeles, New York, Washington, D.C. A mid-level corporate associate with 2-6 years of transactional experience advising clients in the crypto, blockchain, and Web3 sectors. This attorney has worked with innovative technology companies and investors on complex matters including venture capital financings, token issuances, digital asset sales, and the formation of related offshore structures. In this role, the associate partners closely with high-growth fintech and blockchain clients, navigating corporate, regulatory, and transactional issues involving tokenized assets, DAOs, and decentralized finance. The ideal candidate brings a strong interest in crypto markets and a practical understanding of both the business and legal nuances of digital asset offerings. Experience with securities law and crypto regulatory frameworks (e.g., SEC, FinCEN, CFTC) is highly valued. Key Responsibilities: * Advise clients on token and digital asset issuances, including SAFTs, token sales, and structured financings * Support venture financings for early-stage crypto and Web3 companies * Assist in the formation of offshore structures to facilitate blockchain-based operations and fundraising * Stay informed of regulatory developments impacting the crypto ecosystem * Work collaboratively with specialists across tax, IP, fund formation, and compliance practices Candidate Profile: * 2-6 years of relevant corporate transactional experience from a top law firm or boutique with a focus on emerging technologies * Exposure to crypto and Web3 transactions, including financings and token offerings * Familiarity with blockchain fundamentals and U.S. securities law issues as they relate to digital assets * Excellent client service skills and a proactive, solutions-oriented mindset * Admitted to practice in a U.S. jurisdiction Compensation and Benefits: The base compensation range for this role is $260,000 to $390,000, with eligibility for discretionary merit-based bonuses.
