Key Responsibilities: * Represent issuers and underwriters in a wide range of capital markets transactions, including IPOs, SPACs, and private placements. * Provide strategic legal advice on securities law compliance, corporate governance, and disclosure obligations. * Draft and negotiate offering documents, transaction agreements, and related filings. * Manage complex, multi-jurisdictional transactions with precision and efficiency. * Collaborate with legal and business professionals across multiple international offices. * Conduct comprehensive legal research and analysis on regulatory developments. * Cultivate and maintain strong, long-term client relationships through proactive and thoughtful legal counsel. What We're Looking For To succeed in this role, candidates must bring both technical excellence and the commercial acumen necessary to advise high-profile clients in a dynamic market. Ideal Candidate Profile: * J.D., LL.M., or equivalent U.S. law degree. * 5+ years' experience in U.S. capital markets and securities law, ideally gained in a top-tier international law firm. * Bar admission in New York (required). * Demonstrated experience in SPAC transactions, SEC filings, and corporate governance matters. * Strong drafting, negotiation, and analytical skills. * A collaborative approach and ability to work under pressure in a deadline-driven environment. * A commercial mindset and commitment to client service excellence.
