2nd - 4th year Fund Formation Associate (Vault top-50 firm)

A leading international law firm with a global presence and a commitment to excellence in client service is seeking a highly motivated and experienced associate to join its Corporate Advisory/Fund Formation practice in the New York office. Position Summary: The successful candidate will play a key role in advising private equity sponsors, institutional investors, and other asset managers on all aspects of private investment fund formation and operation. This includes navigating a wide array of legal, regulatory, and compliance matters, and delivering practical, business-minded solutions that align with clients' strategic goals. Key Responsibilities: * Advise on the structuring, formation, fundraising, and operation of private equity, hedge, venture capital, real estate, and other investment funds. * Draft and negotiate fund offering documents, partnership and operating agreements, subscription materials, side letters, and other fund-related documentation. * Counsel fund sponsors on the Investment Advisers Act of 1940, ERISA considerations, securities laws, and other regulatory frameworks. * Assist clients with the formation and governance of general partner and management entities. * Support ongoing fund operations, including compliance matters, investor relations, internal reorganizations, and strategic initiatives. * Conduct legal due diligence and coordinate with other practice groups as needed to provide comprehensive support on fund-related transactions. * Stay abreast of legal developments impacting private fund sponsors and investors, and contribute to client alerts or internal knowledge resources as appropriate. Required Qualifications: * 2 to 4 years of relevant experience in private investment fund formation at a leading law firm. * Demonstrated knowledge of key regulatory regimes including the Investment Advisers Act, Securities Act, and Investment Company Act. * Juris Doctor (JD) from an accredited ABA law school. * Active membership in the New York State Bar or eligibility to waive in.
