Job Description - Emerging Company & Venture Capital Associate (3rd to 4th Year) A leading international law firm is currently seeking a highly qualified and motivated 3rd to 4th year Associate to join its Emerging Company and Venture Capital (EC/VC) practice in the New York office. This is a unique opportunity to become an integral part of a practice group that is central to the firm's strategic growth and innovation initiatives. The ideal candidate will have substantial experience representing early-stage and high-growth companies throughout their lifecycle, including formation and structuring, venture capital financings (both equity and debt), mergers and acquisitions, and compliance with U.S. securities laws. A strong understanding of market terms for venture and growth equity transactions is essential, along with experience advising founders, executives, and investors on transactional and governance matters. The role involves close collaboration with a diverse client base ranging from entrepreneurs and emerging companies to venture capital firms and strategic investors. The Associate will play a key role in structuring deals, drafting and negotiating transaction documents, managing due diligence processes, and providing strategic counsel on regulatory and corporate governance issues. Qualifications: * 3 to 4 years of relevant experience in a sophisticated corporate or transactional law practice, preferably within an Am Law 100 firm. * Demonstrated expertise in startup and venture capital transactions, M&A, and U.S. securities law compliance. * Superior academic credentials from a top-tier law school. * Excellent legal research, writing, and analytical skills. * Strong interpersonal and client management capabilities, with the ability to build and maintain trusted relationships. * Admission to practice law in the State of New York is required. Compensation: The anticipated base salary range for this role is $260,000 to $310,000 annually, commensurate with experience, skill set, and other relevant considerations.
