5th - 8th year M&A / Private Equity Associate

A top-tier international law firm is seeking a highly skilled and motivated mid- to senior-level associate to join its busy and dynamic Corporate Group in the New York office. This position offers the opportunity to work on sophisticated and high-profile private equity and M&A transactions alongside market-leading attorneys. Key Responsibilities: * Advise private equity firms, institutional investors, and their portfolio companies on a wide range of complex transactions, including: * Leveraged buyouts and growth equity investments * Co-investments, joint ventures, and co-sponsor arrangements * Add-on acquisitions and strategic exits * Manage deal execution from start to finish, including drafting and negotiating purchase agreements, investment documents, and other key transaction materials * Coordinate due diligence processes and collaborate with subject matter experts across practice areas * Provide strategic counsel on deal structuring, risk assessment, and transaction management * Serve as a key point of contact for clients and help maintain and deepen client relationships Qualifications & Skills: * Approximately 5 to 7 years of experience handling private equity and M&A transactions in a law firm setting * Substantial experience advising private equity sponsors and institutional clients on complex domestic and cross-border transactions * Ability to independently manage transactions with limited supervision * Excellent communication and interpersonal skills, with a strong ability to work effectively in a collaborative, team-oriented environment * Superior client service mindset and professional judgment * Strong organizational and project management abilities with acute attention to detail * Member in good standing of the New York State Bar Why Join This Team: * Work with leading attorneys on sophisticated deals across a wide range of industries * Be part of a collaborative, collegial, and entrepreneurial team culture * Access best-in-class training, mentorship, and professional development resources * Competitive compensation and benefits package * Opportunities for meaningful client interaction and advancement
