A leading global law firm is currently seeking a highly skilled and motivated Private Fund Associate with 3 to 5 years of post-qualification experience to join its growing investment management practice. This role offers a unique opportunity to work on high-level fund formation and operational matters for a diverse client base that includes both established and emerging private fund sponsors across various asset classes.
Key Responsibilities:

Fund Formation: Lead and support the structuring, formation, and operation of private investment funds, including venture capital, private equity, real estate, credit, and other alternative investment vehicles.

Sponsor-Side Representation: Provide comprehensive counsel to general partners and fund sponsors on regulatory compliance, marketing strategies, governance issues, investor negotiations, and internal fund operations.

Client Interaction: Serve as a key point of contact for clients, managing ongoing relationships and developing strategic legal solutions tailored to their business needs.
*
Complex Structuring: Independently handle sophisticated fund structures and related documentation, such as limited partnership agreements, subscription documents, side letters, and management company arrangements.

Team Collaboration: Work closely with partners and colleagues across practice groups (e.g., tax, regulatory, and litigation) to deliver integrated and practical legal advice.

Mentorship and Development: Participate in mentoring opportunities with senior attorneys and contribute to the development of junior associates and team members.
Qualifications:

Experience: 3-5 years of focused experience in private fund formation and sponsor-side representation at a reputable law firm or in-house legal department.

Expertise: Deep understanding of the Investment Advisers Act, securities laws, and relevant regulatory frameworks affecting private funds.

Skills: Excellent analytical, drafting, and negotiation skills, with a strong attention to detail and an ability to manage multiple priorities efficiently.

Communication: Strong interpersonal and written communication skills, with a commitment to delivering high-quality client service.
*
Education: J.D. from a top-tier law school and strong academic credentials; active membership in good standing with the relevant state bar.
