Public Companies M&A Associate - New York (Mid-Level to Senior) An experienced and detail-oriented M&A Associate with a focus on public company transactions and corporate governance matters. Currently practicing in the New York office of a top-tier global firm, this attorney has 4-8 years of experience advising public companies, boards of directors, and financial advisors on a wide range of transactional and advisory matters. This associate has developed particular expertise in negotiated mergers, tender offers, proxy contests, de-SPAC transactions, and related securities law and fiduciary duty issues. Their experience includes counseling clients on deal structuring, shareholder engagement, SEC reporting, and compliance with evolving disclosure and governance requirements. Known for their strategic thinking, sound judgment, and ability to handle fast-moving, high-pressure matters, this associate plays a key role in guiding clients through transformative transactions and ongoing public company obligations. They are also skilled at managing internal teams and external communications, and collaborating across practice groups to ensure seamless execution. Core Experience and Skills: * Significant experience advising public companies on M&A transactions, corporate governance, and securities compliance. * Proficient in navigating fiduciary duty and disclosure issues, takeover defenses, and shareholder activism. * Deep familiarity with federal securities laws, NYSE/Nasdaq listing standards, and SEC regulations. * Adept at drafting and reviewing proxy materials, public filings (including Forms 8-K, 10-K, 10-Q, and S-4), and transaction agreements. * Comfortable interacting with C-suite executives, boards of directors, and outside advisors in high-profile matters. * Admitted to practice in New York.
