3rd-6th year M&A Associate

A well-established law firm is seeking a talented and motivated Mergers & Acquisitions Associate with 3 to 6 years of experience to join its corporate practice group. The ideal candidate will have significant experience representing buyers, sellers, and investors in a broad range of M&A transactions, including private equity, strategic acquisitions, joint ventures, and corporate reorganizations. Responsibilities: * Manage and support complex M&A transactions from inception to closing * Draft and negotiate purchase agreements, shareholder agreements, operating agreements, letters of intent, and other transactional documents * Conduct and coordinate legal due diligence and related risk assessments * Collaborate with clients, internal teams, and outside advisors to structure deals and manage transaction processes efficiently * Provide general corporate counseling to clients, including entity formation, governance, and contract review Qualifications: * J.D. from an accredited law school and admission to the New York State Bar (or eligibility for admission) * 3-6 years of relevant M&A and corporate law experience, preferably from a law firm with an active transactional practice * Strong drafting, negotiation, and project management skills * Excellent judgment, attention to detail, and the ability to manage multiple priorities * A collaborative approach and a commitment to client service This is an excellent opportunity for a mid-level associate to join a collegial team with direct client interaction, mentorship from experienced partners, and long-term career development potential.
