They have advised on offerings across a broad spectrum of industries, often working closely with financial sponsors and portfolio companies in connection with acquisition financings, recapitalizations, and exits. This associate is recognized for their strong technical drafting skills, business acumen, and ability to manage fast-paced, high-stakes deals. They routinely lead drafting sessions, oversee diligence teams, and serve as a primary point of contact for clients and underwriters throughout the transaction lifecycle. Core Skills and Experience: * Extensive experience with public and private offerings of debt and equity securities, including 144A/Reg S high-yield debt offerings, IPOs, follow-on offerings, and secondary sales. * Proficient in preparing and reviewing registration statements, offering memoranda, indentures, underwriting agreements, and other core capital markets documentation. * In-depth knowledge of the Securities Act of 1933, the Exchange Act of 1934, SEC regulations, and NYSE/Nasdaq listing standards. * Experience advising public companies on ongoing reporting obligations and corporate governance matters. * Skilled in coordinating with internal deal teams and external advisors, including underwriters, auditors, and company counsel. * Demonstrated ability to manage complex workstreams and contribute to the strategic execution of high-value transactions. * Admitted to practice in New York.
