Job Description:
A leading New York-based law firm with a strong national and international presence is seeking a highly qualified mid-to-senior level associate (5th to 8th year) to join its Capital Markets practice. This is an excellent opportunity for a candidate with substantial experience in securities offerings and general corporate matters who is looking to work on high-quality transactions in a collegial and entrepreneurial environment.
Key Responsibilities:

Advise public and private companies, investment banks, and sponsors on a broad range of capital markets transactions, including equity and debt offerings, private placements, and other securities matters.

Draft and negotiate offering documents, underwriting agreements, purchase agreements, and related disclosure materials.
*
Assist with ongoing SEC reporting and compliance matters, including periodic filings, proxy statements, and other corporate governance work.
*
Support clients on general corporate issues and transactions, including M&A, reorganizations, and financing.
*
Coordinate with specialists in tax, ERISA, regulatory, and litigation as needed.
Qualifications:
*
J.D. from an accredited law school with strong academic credentials.
*
Admission to the New York State Bar (or ability to waive in).
*
5-8 years of relevant experience at a peer firm in capital markets or securities law.
*
Deep knowledge of the Securities Act of 1933, the Exchange Act of 1934, and other key regulatory frameworks.
*
Demonstrated experience in advising clients on complex transactions and disclosure matters.
*
Strong drafting, analytical, and communication skills.
*
Ability to manage multiple projects simultaneously in a fast-paced environment.
*
Team-oriented with a commitment to excellence and client service.
