4th - 7th year Capital Markets Associate (V-50 firm)

A prestigious, international law firm is actively seeking a highly skilled and motivated Associate with 4 to 7 years of experience in U.S. capital markets to join its Global Corporate practice group. This opportunity is open in the firm's offices located in New York, Dallas, Houston, or Chicago. The successful candidate will have substantial experience advising on a wide variety of capital markets transactions. This includes a demonstrated ability to represent underwriters, issuers, and placement agents in complex securities offerings, such as: * Initial public offerings (IPOs) * Follow-on public offerings * Rule 144A and Regulation S offerings * Private placements and PIPE transactions Candidates should possess a deep understanding of the Securities Act of 1933 and the rules and regulations that govern capital markets transactions. While not required, experience advising public companies on ongoing compliance and disclosure obligations under the Securities Exchange Act of 1934 ('34 Act), including preparation and review of periodic and current reports (10-Ks, 10-Qs, 8-Ks) and proxy statements, will be viewed favorably. Strong academic credentials, excellent drafting skills, sound legal and business judgment, and the ability to work efficiently and collaboratively within a fast-paced, team-oriented environment are essential.
