M&A / Venture Capital Associate (2nd-6th Year)
Location: Boston (Hybrid work flexibility available)
An established boutique law firm is seeking a mid-level associate with 2-6 years of experience in M&A and venture capital transactions to join its growing corporate practice. The ideal candidate has a demonstrated ability to manage fast-paced deal work, including both buy- and sell-side M&A, and early- to late-stage venture financings.
This role involves close interaction with founders, executives, and investors in advising clients on structuring, negotiating, and executing corporate transactions. Associates in this practice gain substantial responsibility and client exposure, and are expected to contribute to all phases of transaction execution, from initial term sheet to closing.
Key Responsibilities:

Manage and support M&A transactions, including due diligence, drafting and negotiating key transaction documents, and coordinating closings

Advise emerging companies and startups on equity structuring, governance, and operational matters
*
Represent institutional investors and venture capital firms in preferred stock financings and convertible note transactions
*
Draft and negotiate stock purchase agreements, investor rights agreements, and other related financing documents
*
Collaborate with senior attorneys and clients in counseling on strategic business decisions
Candidate Profile:
*
2-6 years of experience in mergers & acquisitions and venture capital at a law firm or in-house legal department
*
Familiarity with emerging company legal needs, including company formation, capitalization tables, and early-stage investment structures
*
Strong communication, drafting, and organizational skills
*
Able to work independently while contributing to a collaborative team environment
*
Admission to the Massachusetts Bar (or eligibility to waive in)
