Practice Group Overview:

Attorneys in this group advise clients throughout the company lifecycle-from formation and financing through exit-on matters such as venture financings, M&A, commercial transactions, and corporate governance. The practice prides itself on its deep engagement with the startup ecosystem and its ability to provide practical, business-focused legal advice tailored to the unique needs of emerging companies.
Position Summary:
The firm is seeking a 4th-6th year associate with substantial experience in emerging company and venture capital work. The ideal candidate will have a strong background representing early-stage companies and venture capital funds in equity financings, convertible instruments (notes and SAFEs), mergers and acquisitions, and general corporate matters. The position offers the opportunity to work closely with a collaborative, market-leading team that supports many of the most innovative companies and investors in the U.S.
Key Responsibilities:

Advise startups and venture-backed companies on financing transactions, corporate governance, and day-to-day legal needs
*
Represent venture capital funds and strategic investors in early- and growth-stage investments
*
Negotiate and draft term sheets, stock purchase agreements, and related documentation
*
Support M&A transactions involving emerging companies on both buy-side and sell-side
*
Collaborate with colleagues across corporate, regulatory, tax, and IP practices to deliver integrated client solutions
Qualifications:

J.D. from an accredited law school and admission to the Massachusetts Bar (or eligibility for admission)
*
4-6 years of relevant ECVC or general corporate experience at a leading law firm
*
Strong understanding of venture capital financing structures and startup legal issues
*
Excellent drafting, negotiation, and interpersonal skills
*
Demonstrated interest in working with high-growth companies and participating in the innovation economy
