The firm represents major financial institutions, private equity sponsors, corporations, creditors, and investors on complex, high-value matters. Position Overview The firm is seeking a 3rd-6th year associate with experience in distressed transactions, special situations, and complex M&A matters. This role is ideal for an attorney who thrives at the intersection of corporate transactional work and restructuring strategy, with exposure to Chapter 11 processes, distressed asset sales, liability management transactions, and investments in stressed or turnaround scenarios. Key Responsibilities * Advise on distressed mergers and acquisitions, including Section 363 sales, out-of-court restructurings, and investments in stressed or distressed companies. * Support private equity sponsors, lenders, creditors, and corporate clients on special situations transactions. * Draft and negotiate acquisition agreements, restructuring support agreements, asset purchase agreements, financing documents, and related corporate materials. * Work closely with restructuring, finance, tax, and litigation teams to coordinate cross-disciplinary transaction components. * Conduct due diligence, manage workstreams, and interface directly with clients, counterparties, and financial advisors. * Provide strategic guidance on risk assessment, process strategy, and deal execution. * Mentor junior associates and contribute to team development when appropriate. Qualifications * 3-6 years of experience in M&A, restructuring, or special situations at a large law firm or similarly sophisticated practice. * Strong understanding of distressed transaction dynamics, creditor rights, and Chapter 11-related processes. * Excellent drafting, negotiation, and analytical skills. * Ability to manage complex matters in a fast-paced environment with significant client engagement. * Strong academic credentials and admission to practice in New York (or ability to waive in). Additional Attributes * Commercial mindset and comfort working with financial advisors, investment banks, and private equity clients. * Strong organizational and communication skills. * Interest in developing deeper expertise in distressed investing, restructuring, and complex transactional work.
