Position Summary:
The New York office is seeking a Corporate/M&A Associate to work closely with partners and senior lawyers on a wide range of transactional and advisory matters. The role includes structuring, negotiating, and executing mergers, acquisitions, joint ventures, and other strategic corporate transactions, often involving international components. The associate will also provide ongoing corporate governance and general advisory support to both privately held and publicly traded clients.
Key Responsibilities:

Draft, review, and negotiate stock and asset purchase agreements, shareholder agreements, and joint venture documentation

Conduct due diligence in connection with M&A transactions and other corporate matters
*
Assist in structuring cross-border deals in collaboration with legal teams in foreign jurisdictions
*
Provide legal advice on corporate governance, compliance, and regulatory matters
*
Support deal execution from inception through post-closing integration
Qualifications:

J.D. or foreign equivalent required
*
Admission to the New York Bar (or eligibility for admission)
*
Minimum of 3 years of experience in corporate transactions at a leading law firm
*
Experience drafting and negotiating key M&A documentation and advising clients on corporate governance
*
Strong legal research, writing, and analytical skills
*
Proven ability to manage complex matters and deliver practical legal solutions in fast-paced environments
