Position Overview The ideal candidate will have significant experience representing issuers and underwriters in capital markets transactions, including: * Public and private securities offerings, particularly under the Securities Act of 1933. * Registered equity and debt offerings, including IPOs and follow-on offerings. * Private placements and Rule 144A/Reg S offerings. * Advising on ongoing reporting and compliance matters under the Exchange Act of 1934. * Experience with SPAC transactions or cross-border offerings is a plus. Candidates should have strong academic credentials, excellent writing and communication skills, and the ability to manage multiple matters simultaneously in a fast-paced environment. Qualifications * J.D. from an accredited law school * Admitted to the New York Bar * 3-6 years of relevant capital markets experience at a peer firm * Demonstrated ability to work both independently and as part of a team
