Position Overview The firm is seeking a 4-6 year ECVC Associate to support its active and fast-growing practice group. This role is ideal for an attorney with significant experience advising emerging companies and investors on venture capital financings, strategic transactions, and general corporate matters. Candidates should bring strong transactional skills and the ability to work directly with founders, executives, and investment professionals. Key Responsibilities * Advise startups and high-growth companies on venture capital financings, corporate governance, and strategic planning. * Represent investors and companies in private equity financings, public offerings, and domestic M&A transactions. * Draft and negotiate financing documents, SPA and M&A agreements, and other complex corporate contracts. * Provide strategic, business-savvy guidance throughout transaction processes and critical corporate events. * Manage client relationships, act as a trusted advisor, and oversee deal workstreams with efficiency and judgment. * Collaborate across practice groups-including tax, IP, regulatory, and employment-to deliver integrated solutions. * Support companies across industries such as technology, life sciences, and consumer products. Qualifications * 4-6 years of experience in ECVC, venture financings, startup counseling, or a related corporate practice. * Background in private equity financings, capital markets matters, and/or M&A transactions is strongly preferred. * Demonstrated business acumen, strong analytical skills, and the ability to navigate complex transactional issues. * Excellent drafting, communication, and client-management abilities. * Admission to the state bar where practicing or eligibility to waive in.
