Position Overview The firm is seeking a 7th-8th year associate with substantial experience in M&A and private equity transactions. The role involves working closely with partners on complex domestic and international deals, advising clients on strategic transactions and legal risks, and managing key components of multi-faceted transactions. This position offers significant responsibility, client interaction, and leadership opportunities within the team. Key Responsibilities * Advise clients on complex domestic and cross-border M&A, private equity transactions, restructuring matters, recapitalizations, and public capital markets deals. * Draft, review, and negotiate core transactional documents, including stock and asset purchase agreements, merger agreements, and related corporate contracts. * Oversee deal processes from initial negotiation through closing, coordinating with internal teams and external advisors. * Provide strategic guidance on legal and commercial considerations across diverse industries. * Mentor junior associates, oversee workstreams, and support professional development within the group. * Participate in client development initiatives, including marketing efforts and relationship-building activities. * Manage multiple sophisticated matters simultaneously with minimal supervision. Qualifications * JD from an accredited law school, with 6+ years of experience in M&A, private equity, or related corporate transactional work at a top-tier law firm. * Strong background advising major private equity firms and corporate clients. * Deep understanding of relevant legal frameworks, transaction structures, and industry-specific considerations. * Admission to practice law in New York is required. * Exceptional drafting, negotiation, communication, and analytical skills. * Demonstrated ability to take ownership of matters and maintain strong client relationships. Compensation & Benefits * Competitive annual salary in the range of $420,000 - $445,000, commensurate with experience. * Eligibility for bonus compensation. * Comprehensive benefits package, including health, wellness, and retirement offerings.
