Position Overview The firm is seeking a 4th-6th year M&A associate with substantial experience handling domestic and cross-border corporate transactions. This role offers significant responsibility, including direct client interaction, workstream management, and involvement in all stages of major strategic transactions. The ideal candidate will excel in a fast-paced environment, demonstrate strong commercial judgment, and bring experience advising on both private and public company matters. Key Responsibilities * Draft, review, and negotiate key M&A documents, including stock and asset purchase agreements, merger agreements, and joint venture documentation. * Lead and manage due diligence reviews and coordinate multidisciplinary teams across practice areas and international offices. * Support clients on strategic decision-making throughout the transaction life cycle-from initial structuring to closing. * Advise on corporate governance, regulatory considerations, and general corporate matters. * Interface directly with clients, investment banks, and counterparties on transaction strategy and execution. * Mentor junior associates and contribute to team development. Qualifications * JD from an accredited law school and admission to practice in New York (or eligibility to waive in). * 4-6 years of M&A experience at a highly regarded law firm. * Strong drafting and negotiation skills, with experience handling complex corporate transactions. * Exposure to cross-border matters or experience working with multinational clients is preferred. * Excellent analytical, communication, and project-management abilities. * Ability to handle multiple matters efficiently in a high-intensity, collaborative environment.
