Position Overview
The firm is seeking a 3rd-6th year M&A Associate with experience in public M&A and complex international transactions. The role offers substantial responsibility in drafting and negotiating transaction documents, coordinating due diligence, and advising clients on corporate governance, private equity, and strategic considerations. Candidates should have strong academic credentials, commercial judgment, and the ability to manage multiple complex matters under tight deadlines.
Key Responsibilities

Draft, review, and negotiate key M&A transaction documents, including merger agreements, stock and asset purchase agreements, and ancillary contracts.

Lead and coordinate due diligence processes, managing information flow between clients, counterparties, and internal teams.

Advise clients on corporate governance, private equity, and strategic transaction matters.

Collaborate with colleagues across global offices and practice areas to provide integrated legal solutions.
*
Engage directly with clients, investment banks, and other stakeholders throughout the transaction lifecycle.
*
Manage multiple projects simultaneously while meeting high standards of quality and client service.
*
Mentor junior associates and contribute to practice development initiatives.
Qualifications
*
JD from an accredited law school and admission to practice in New York (or eligibility to waive in).

3-6 years of experience in M&A or corporate transactional work, with exposure to public company and cross-border transactions.

Strong drafting, negotiation, and analytical skills.
*
Demonstrated commercial acumen, client-service focus, and ability to manage complex matters under pressure.

Excellent communication skills and collaborative mindset.
