Overview of the Firm A leading US law firm with a nationally recognised Private Equity and Investment Funds practice is seeking to expand its transactional team. The firm advises private equity sponsors, investors, and portfolio companies on complex US and cross-border transactions and is known for its high-quality deal work, collaborative culture, and strong partner engagement. The Role The firm is seeking a mid-level associate (3-6 years' experience) to join its Private Equity and Investment Funds practice, based in Boston or Providence. The successful candidate will support private equity sponsors and their portfolio companies across a broad range of transactions, with a particular emphasis on platform acquisitions, add-on acquisitions, and portfolio company M&A. Responsibilities * Drafting, reviewing, and negotiating complex private equity and M&A transaction documents * Managing transaction processes and coordinating with internal teams and external advisors * Advising sponsors and portfolio companies throughout the transaction lifecycle * Communicating effectively with clients and supervising attorneys * Taking responsibility for discrete workstreams on sophisticated matters Candidate Profile * 3-6 years of experience in private equity transactional work * Strong background in sponsor-side M&A and related transactions * Excellent drafting, analytical, and organisational skills * Ability to work independently while contributing to a team-oriented environment * Strong academic credentials * Licensed and in good standing in at least one US jurisdiction The Opportunity This position offers the opportunity to work on sophisticated national matters, assume meaningful responsibility, and receive close mentorship from partners in a collegial, growth-oriented environment.
