A leading international law firm with a strong U.S. transactional platform is seeking a mid-level corporate associate to join its Capital Markets and Securities practice in New York.
Firm & Practice Overview
The firm is widely recognised for advising issuers, underwriters, and financial institutions on complex U.S. capital markets transactions, with a particular strength in public and private debt and equity offerings. The New York team operates at the centre of the firm's capital markets practice, regularly handling high-profile, market-sensitive transactions for public companies, sponsor-backed issuers, and financial intermediaries. The practice is deal-driven, collaborative, and closely integrated with the firm's M&A, finance, and governance capabilities.
Role Description
The associate will support partners and senior lawyers on a broad range of capital markets and securities matters, including:

Public and private offerings of equity and debt securities, including IPOs, follow-on offerings, PIPEs, and structured or convertible products
*
Representation of both issuers and underwriters
*
Ongoing SEC reporting and compliance under the Securities Exchange Act of 1934
*
Advising public companies on corporate governance, disclosure obligations, and regulatory compliance
*
Capital markets aspects of mergers and acquisitions and other strategic transactions
The role offers meaningful responsibility, direct client exposure, and the opportunity to work on transactions spanning multiple industries and capital structures.
Candidate Profile
*
3-6 years of experience at a large or international law firm
*
Solid background in capital markets and securities law, including Exchange Act reporting
*
Experience advising on public company governance and SEC compliance matters
*
Strong drafting skills and the ability to manage multiple workstreams in fast-moving transactions
*
Admission to the New York or Texas bar (depending on office location)
