Overview of the M&A Practice The firm's Mergers & Acquisitions practice advises public and private companies, private equity funds, venture capital investors, and founders in a broad spectrum of domestic and cross-border transactions. The team handles acquisitions, divestitures, mergers, carve-outs, joint ventures, and strategic investments across multiple industries. Attorneys in the practice work closely with clients throughout the lifecycle of a transaction-from structuring and negotiation through due diligence, documentation, and closing. The group is known for providing commercially pragmatic advice and for collaborating across disciplines including tax, finance, intellectual property, employment, and regulatory. Position Overview The firm is seeking a 3rd-5th year M&A Associate to join its Boston office. The associate will work as part of a collaborative transactional team advising clients on a variety of complex corporate transactions. This role offers significant responsibility, direct client interaction, and opportunities to take an active role in managing deal processes. Key Responsibilities * Assist in the structuring, negotiation, and execution of mergers, acquisitions, and other strategic transactions * Draft and review transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements * Manage and coordinate due diligence processes and diligence teams * Support deal negotiations and closings, including coordinating with specialists across practice groups * Interact with clients, opposing counsel, and advisors throughout the transaction process * Contribute to multiple matters simultaneously in a fast-paced transactional environment Qualifications * 3-5 years of experience at a major law firm with a focus on mergers and acquisitions and general corporate transactions * Experience representing strategic buyers, sellers, and/or private equity sponsors in complex deals * Strong drafting, negotiation, and analytical skills * Excellent academic credentials * Ability to manage components of transactions and work effectively in team settings * Admission to the Massachusetts Bar or eligibility to waive in Why This Opportunity This position offers the opportunity to work on sophisticated transactions with experienced dealmakers in a collaborative environment that supports professional development and client exposure.
