The team regularly advises on landmark public offerings, investment-grade and high-yield debt issuances, liability management transactions, and securities law compliance for clients spanning a broad range of industries. As part of the firm's continued investment in this market-leading practice, we are undertaking a strategic expansion of the team and are seeking to hire multiple associates across the 2nd through 6th year levels. These positions offer the opportunity to join a highly collaborative group experiencing sustained client demand and continued growth. Position Summary We are seeking talented Capital Markets Associates with two to six years of relevant experience to join our New York office. Successful candidates will work alongside leading practitioners on sophisticated domestic and international capital markets transactions, advising clients through every stage of the deal lifecycle while developing meaningful client relationships and assuming increasing responsibility. Key Responsibilities * Advise issuers, underwriters, and other market participants on a broad range of capital markets transactions. * Draft, review, and negotiate transaction documents, including underwriting agreements, purchase agreements, registration statements, prospectuses, offering memoranda, indentures, and ancillary documentation. * Assist with initial public offerings, follow-on equity offerings, investment-grade and high-yield debt offerings, private placements, and other securities offerings. * Advise public company clients on ongoing securities law compliance, disclosure obligations, and corporate governance matters. * Conduct legal due diligence and coordinate transaction execution with clients, financial advisors, auditors, and opposing counsel. * Manage transaction timelines and oversee junior team members on active matters. * Collaborate with attorneys across corporate, finance, tax, executive compensation, and regulatory practices to deliver integrated legal advice. Qualifications * Juris Doctor (J.D.) from an accredited law school. * Admission to practice law in New York, or eligibility to obtain admission promptly. * Two to six years of capital markets experience at a leading law firm. * Experience representing issuers, underwriters, or both in public and private securities offerings. * Strong familiarity with the U.S. Securities Act of 1933, the Securities Exchange Act of 1934, SEC reporting requirements, and applicable stock exchange rules. * Excellent drafting, analytical, organizational, and communication skills. * Ability to manage multiple complex transactions in a fast-paced environment while maintaining exceptional attention to detail. * Strong academic credentials and a demonstrated commitment to client service. Preferred Experience * Experience with cross-border securities offerings and Rule 144A/Regulation S transactions. * Exposure to liability management transactions and hybrid financing structures. * Familiarity with public company advisory work and SEC reporting. * Experience mentoring junior associates and managing transaction workstreams.
