Position Summary
We are seeking a highly motivated Fund Formation Associate to join our Investment Funds practice. The successful candidate will advise private fund sponsors on the structuring, formation, fundraising, operation, and ongoing management of private investment funds across multiple strategies. This role offers significant client interaction, exposure to sophisticated transactions, and the opportunity to work as part of a collaborative, cross-border team.
Key Responsibilities
* Advise sponsors on the formation and structuring of private investment funds, including private equity, credit, infrastructure, real estate, secondaries, and hybrid strategies.
* Draft and negotiate fund documentation, including limited partnership agreements, subscription agreements, private placement memoranda, side letters, and related organizational documents.
* Counsel clients on regulatory, governance, and operational matters affecting private investment funds.
* Assist sponsors throughout fundraising processes, including negotiations with institutional investors and strategic limited partners.
* Coordinate with tax, regulatory, finance, and other specialist teams to deliver integrated legal advice.
* Support the establishment of parallel funds, feeder funds, co-investment vehicles, separately managed accounts, and other bespoke investment structures.
* Conduct legal research and provide practical guidance on evolving market practices and regulatory developments.
* Mentor junior attorneys and contribute to knowledge-sharing initiatives within the practice.
Qualifications
* Juris Doctor (J.D.) from an accredited law school.
* Admission to practice law in at least one U.S. jurisdiction, or eligibility to obtain admission promptly.
* Approximately 3-6 years of experience in investment funds or private fund formation at a leading law firm.
* Strong experience drafting and negotiating fund formation documents.
* Familiarity with U.S. private investment fund structures and applicable regulatory frameworks.
* Excellent analytical, drafting, negotiation, and communication skills.
* Ability to manage multiple complex matters in a fast-paced environment.
* Strong academic credentials and attention to detail.
Preferred Experience
* Experience advising sponsors across multiple private capital asset classes.
* Exposure to cross-border fund formations and international investor negotiations.
* Familiarity with sponsor-level structuring and carried interest arrangements.
* Experience working directly with sophisticated institutional investors.
