Position Summary
The firm is seeking a Capital Markets Associate to join its New York office. The successful candidate will advise issuers, underwriters, financial institutions, and corporate clients on a broad range of U.S. and international capital markets transactions. This role offers substantial responsibility, direct client interaction, and the opportunity to work on high-profile offerings across a variety of industries and jurisdictions.
Key Responsibilities
* Represent issuers and underwriters in registered and exempt offerings of equity and debt securities, including initial public offerings, follow-on offerings, investment-grade and high-yield debt offerings, Rule 144A offerings, Regulation S offerings, and private placements.
* Advise public companies on securities law compliance, SEC reporting obligations, corporate governance matters, and stock exchange listing requirements.
* Draft and negotiate registration statements, prospectuses, offering memoranda, underwriting agreements, purchase agreements, indentures, disclosure documents, and ancillary transaction materials.
* Conduct legal due diligence and coordinate transaction execution with clients, investment banks, auditors, rating agencies, and opposing counsel.
* Assist clients with ongoing reporting obligations under the Securities Exchange Act, including Forms 10-K, 10-Q, 8-K, proxy statements, and other SEC filings.
* Advise on liability management transactions, tender offers, exchange offers, consent solicitations, and other strategic financing initiatives.
* Collaborate with attorneys across banking, tax, restructuring, litigation, executive compensation, and international practice groups to provide comprehensive legal advice on complex transactions.
* Manage multiple transactions simultaneously while maintaining high standards of quality, responsiveness, and client service.
Qualifications
* J.D. from an accredited U.S. law school with outstanding academic credentials.
* Active membership in, or eligibility for admission to, the New York Bar.
* Approximately 2 years of experience in capital markets and securities transactions at a nationally recognized law firm.
* Experience representing issuers and/or underwriters in equity and debt offerings.
* Strong familiarity with SEC reporting, securities regulations, and corporate governance requirements.
* Exceptional drafting, negotiation, analytical, and organizational skills.
* Ability to work effectively on complex, fast-paced transactions involving multiple stakeholders.
* Excellent written and verbal communication skills with a strong client-service orientation.
Preferred Experience
Candidates with experience advising on cross-border securities offerings, sovereign or quasi-sovereign financings, liability management transactions, structured capital markets products, or multinational financing transactions are particularly well suited for this role. Fluency in an additional language or experience working on international matters is beneficial but not required.
