Position Summary
The firm is seeking a talented Mergers & Acquisitions / Private Equity Associate to join its New York office. The successful candidate will advise private equity sponsors, strategic acquirers, portfolio companies, founders, and institutional investors on a broad range of sophisticated domestic and international transactions. Associates work closely with partners and clients throughout the entire transaction lifecycle, assuming meaningful responsibility from the outset.
Key Responsibilities
* Represent private equity sponsors, portfolio companies, strategic buyers, and sellers in mergers, acquisitions, divestitures, carve-outs, and other strategic transactions.
* Advise clients on leveraged buyouts, growth equity investments, recapitalizations, joint ventures, and other private equity transactions.
* Draft, review, and negotiate acquisition agreements, equity purchase agreements, merger agreements, investment documents, governance agreements, disclosure schedules, and ancillary transaction documents.
* Conduct and manage legal due diligence, identify transaction risks, and coordinate with specialists across tax, finance, employment, intellectual property, antitrust, executive compensation, and regulatory practice groups.
* Lead transaction execution, including managing closing processes, coordinating opposing counsel, and maintaining transaction timelines.
* Advise clients on corporate governance matters, post-closing integration issues, and general corporate counseling.
* Support cross-border transactions involving international affiliates, foreign investors, and multinational businesses.
* Develop and maintain strong client relationships through responsive, commercially focused legal advice.
Qualifications
* J.D. from an accredited U.S. law school with excellent academic credentials.
* Active membership in, or eligibility for admission to, the New York Bar.
* Approximately 3-6 years of experience in mergers and acquisitions and/or private equity transactions at a nationally recognized law firm.
* Demonstrated experience leading significant portions of sophisticated corporate transactions.
* Strong drafting, negotiation, analytical, and project management skills.
* Ability to manage multiple complex matters simultaneously in a fast-paced environment.
* Excellent written and verbal communication skills with a strong client-service orientation.
* Experience working with technology, healthcare, life sciences, or other innovation-focused clients is preferred but not required.
Preferred Experience
Candidates with experience advising private equity sponsors, venture-backed companies, growth-stage businesses, founders, or public companies on strategic transactions will be particularly well suited for this role. Exposure to cross-border transactions, minority investments, continuation funds, GP-led transactions, or other sophisticated private capital matters is considered a plus.
