Position Summary
The firm is seeking a Capital Markets Associate to join its Corporate and Securities practice in Miami. The ideal candidate will have experience representing issuers, underwriters, lenders, sponsors, and investors in a broad range of capital markets and corporate finance transactions. This role offers the opportunity to work closely with experienced partners on sophisticated domestic and cross-border matters while assuming meaningful responsibility in a fast-paced practice.
Responsibilities
* Represent issuers and underwriters in public and private offerings of equity and debt securities, including registered offerings, Rule 144A offerings, and Regulation S transactions.
* Advise public companies on securities law compliance, periodic reporting obligations, corporate governance, and stock exchange requirements.
* Draft and negotiate offering documents, underwriting agreements, purchase agreements, disclosure documents, indentures, and ancillary transaction documents.
* Conduct legal due diligence and coordinate transaction execution with clients, investment banks, auditors, and opposing counsel.
* Assist clients with SEC reporting obligations, including Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and related filings.
* Support mergers and acquisitions, corporate reorganizations, and other strategic transactions with securities law and financing components.
* Advise clients on corporate governance matters, disclosure obligations, and evolving regulatory requirements.
* Collaborate with multidisciplinary teams across tax, finance, real estate, restructuring, and other practice groups to deliver comprehensive legal solutions.
Qualifications
* J.D. from an accredited U.S. law school with strong academic credentials.
* Active membership in, or eligibility for admission to, the Florida Bar.
* Approximately 3-6 years of experience in capital markets, securities, or corporate transactions at a nationally recognized law firm.
* Experience with SEC reporting, securities offerings, and corporate governance matters.
* Excellent drafting, negotiation, analytical, and project management skills.
* Ability to manage multiple transactions simultaneously while maintaining exceptional attention to detail.
* Strong interpersonal and communication skills with a demonstrated commitment to client service.
* Experience with cross-border transactions or Latin America-related matters is a plus but not required.
Preferred Experience
Candidates with exposure to investment-grade and high-yield debt offerings, equity offerings, private placements, structured finance, acquisition financing, or broader corporate transactions will be particularly well suited for this opportunity.
