Corporate & Commercial Lawyer | Mid-Market Transactions A well-established law firm is seeking a commercially minded corporate and commercial lawyer to join its team. The successful candidate will have experience across a broad range of transactional matters, including: * Mid-market acquisitions, private business sales, joint ventures and company buyouts * Drafting and negotiating APAs, transition arrangements and non-compete agreements * Commercial contracts, including SaaS, licensing, consultancy, technology and vendor agreements * Secured and unsecured commercial lending transactions * Commercial real estate acquisitions, leases and development agreements * Corporate structuring, governance, joint ventures and partnership agreements * Regulatory and transactional advice to healthcare, retail and technology businesses * Commercial energy and fuel supply agreements * Commercial, institutional and investor litigation support The role would suit a lawyer who enjoys taking ownership of matters, working closely with clients and handling a varied commercial workload. Role and responsibilities: Represent clients in a variety of corporate transactions, including mergers and acquisitions and venture capital financings. Draft, review and negotiate primary and ancillary transaction documents. Assist in managing due diligence and all logistical preparation for signing/closing. Communicate with appropriate audiences on open issues and transaction documents. Minimum requirements A Juris Doctor (JD) degree (LLM or foreign equivalent) from an accredited law school. Must be admitted, and in good standing, to the Texas bar. Previous corporate M&A experience, either at a firm or in-house. Preferred requirements Previous experience negotiating critical points of a deal with opposing counsel. Experience reviewing purchase agreements and creating an issues list. Strong drafting, negotiation, and analytical skills. Excellent organizational skills and attention to detail. Ability to manage multiple projects simultaneously and work effectively under tight deadlines. Strong interpersonal and communication skills, with the ability to work collaboratively in a team environment.
