What your day-to-day will look like * Counsel public or private clients on both domestic and cross-border capital markets transactions such as debt and equity offerings * Draft and review registration statements, prospectus supplements and transactions related to securities offerings and business combinations * Be a direct point of contact with the SEC and various other regulatory bodies to ensure compliance with both federal and state securities laws. * Regularly advise public companies on continuous Exchange Act reporting requirements. * Provide strategic guidance to boards of directors and executive leadership on corporate governance, and disclosure matters. * Independently lead due diligence processes, manage transaction closings, and collaborate effectively with internal teams and external client stakeholders About you You will have: * More than 8 years of corporate law experience, with significant expertise advising on debt and equity capital markets transactions. * A strong track record of drafting, reviewing, and negotiating complex securities offering documents, underwriting agreements, and public disclosure filings. * Confidence in managing sophisticated matters independently and can serve as a trusted advisor and primary point of contact for clients throughout complex transactions. * The ability to combine exceptional attention to detail with a proactive, solutions-focused approach, supported by strong organisational and communication skills. * Passed the Florida Bar or are eligible for admission. Ideally, you will, but are not required to have: * Experience advising on public and private equity and debt offerings, proxy solicitations, and responses to SEC comment letters. * Exposure to complex M&A transactions, SPAC mergers, and/or cross-border capital markets transactions, particularly within Latin American markets.
