The Firm A leading national full-service law firm operating across the US is looking to appoint a Corporate Associate to join one of their offices located In Ohio, Colorado, Tennessee, or Pennsylvania. This firm advises a broad and diverse client base, including multinational corporations, large public companies, emerging businesses and nonprofit organisations providing excellent corporate legal solutions. Their team is involved in a broad spectrum of sophisticated transactional work, including mergers and acquisitions, corporate governance, private equity investments, strategic partnerships, and general corporate matters. What the role looks like day-to-day * Advising a diverse client base on a broad range of M&A and corporate transactions * Leading and supporting buy-side and sell-side transactions, including conducting due diligence, drafting and negotiating transaction documents, and managing deal processes * Working closely with clients, partners and cross-functional teams to deliver strategic, commercially focused legal advice * Structuring, reviewing and negotiating corporate agreements, governance documents and other complex commercial arrangements * Managing transaction timelines, coordinating with specialists across practice areas and ensuring successful deal execution * Conducting legal research and providing practical solutions to clients on corporate and transactional matters * Building and maintaining strong client relationships through responsive, high-quality service * Collaborating with colleagues across the firm's national platform on sophisticated and high-profile matters * Mentoring junior lawyers and contributing to a supportive, team-oriented culture * Participating in business development, professional networking, pro bono initiatives and community engagement opportunities to further your practice and professional growth About you You will have: * 4-7 years of experience in M&A and general corporate transactions * Experience representing clients on both buy-side and sell-side matters * Strong academic credentials and excellent written and verbal communication skills * Bar admission in the state in which you reside, or eligibility to waive into the bar in the short-term What is in it or you? * Comprehensive benefits package including medical, dental, vision, life insurance, disability cover, parental leave, wellbeing support and a generous 401(k) plan * Flexible hybrid working model (3 days in the office) * Clear, competency-based path to partnership with formal mentoring and ongoing career development * Inclusive and collaborative environment with a strong commitment to diversity, equity and inclusion * Opportunities for leadership, pro bono work, community engagement and professional involvement to support personal and professional growth This is a truly unique opportunity to join a thriving corporate practice, work on sophisticated and high-impact transactions, and build your career within a collaborative, people-focused environment.
