A rare opportunity has arisen to join the legal team of a FTSE-listed international business as Assistant Company Secretary.
Following a significant period of transformation, the business is entering an exciting new chapter. Having recently completed a major financing and with strong commercial momentum, the company is in a fantastic position, offering an opportunity to join a lean, high-performing legal function where you'll gain genuine responsibility and visibility from day one.
Reporting directly to the General Counsel, you'll work closely with senior legal leadership, the Company Secretary and Board-level stakeholders across a broad range of company secretarial and corporate governance matters.
This is an ideal opportunity for someone looking to step into a broader, more commercially focused Assistant Company Secretary role within a listed business, offering exceptional exposure and long-term career development.
The Role
Responsibilities will include:
· Supporting all UK listed company compliance obligations, including the UK Listing Rules, DTRs, MAR and the UK Corporate Governance Code.
· Assisting with PLC Board and Committee meetings, including preparing annual calendars, coordinating papers and supporting governance processes.
· Supporting the delivery of the Annual Report and AGM process.
· Managing subsidiary governance across an international group, working closely with external corporate secretarial providers.
· Drafting board minutes, resolutions, powers of attorney and other corporate documentation.
· Maintaining statutory registers and Companies House filings.
· Managing relationships with the company's share registrar and supporting shareholder communications.
· Assisting on corporate transactions, restructurings and other strategic projects as they arise.
About You
We're keen to hear from candidates who:
· Have 3+ years' relevant company secretarial experience.
· Have experience working within a UK listed (PLC) environment (desirable).
· Possess a strong understanding of the Companies Act, UK Listing Rules, MAR and broader corporate governance requirements.
· Are confident working independently and able to take ownership of their workload.
· Are commercially minded, proactive and keen to continue developing their career.
· Have excellent communication skills and are comfortable engaging with senior stakeholders and Board members.
Formal CGI qualification would be advantageous but is not essential.
