You will advise and represent clients on complex deals, including spin-offs, split-offs, contributions of assets, and entity reorganizations, as well as shareholder activism and takeover defense matters. The position also involves conducting in-depth analyses of Delaware and EU corporate law and drafting detailed legal memoranda to guide client strategy.
Candidates should have at least four years of experience handling complex M&A transactions and corporate governance matters, and must be admitted to practice in New York. Strong analytical skills, a deep understanding of corporate law, and the ability to navigate high-stakes, fast-paced transactions are essential.
