Step into a platform where execution matters, structures repeat, and your work directly determines whether renewable projects go live.
This is where you become a 'go to' attorney to get deals over the line.
Job Purpose
Join a leading AmLaw-ranked platform advising private equity sponsors, infrastructure funds, lenders, and energy developers on complex project financings across wind, solar, and storage assets.
You will operate inside live transactions, contributing directly to structuring, diligence, and execution, developing into a lawyer who understands how capital flows and how deals actually close.
What You'll Do
* Draft and manage core financing documentation, including exhibits, ancillary documents, and corporate approvals supporting closing
* Analyze and run diligence on project assets, including EPC contracts, PPAs, and project structures to assess financeability
* Support construction financings for ground-up developments transitioning into operational assets
* Assist with term loan facilities tied to long-term project operations
* Contribute to back-leverage financings at the sponsor and portfolio level
* Coordinate closing processes across lenders, sponsors, developers, and advisors in fast-moving timelines
* Help structure and document risk allocation across stakeholders, including lenders, sponsors, and contractors
* Manage deal execution workflows, ensuring consistency, accuracy, and efficient delivery across repeat transactions
Who You'll Be Doing This For
Your counterparties are not occasional clients. They are:
· Infrastructure and private equity funds deploying capital across repeat energy platforms
· Banks and credit funds underwriting project risk at scale
· Developers and sponsors building and monetising energy assets
These are repeat players running multi-deal strategies. The expectation is not just accuracy, it's efficient, consistent execution across transactions.
Why This Role Matters
· You sit in the capital flow; Your work directly impacts whether financings close and capital gets deployed
· You see repeat structures early; Portfolio-driven deals mean you build pattern recognition faster than in one-off transactional work
· You contribute to bankability; The diligence and documentation you support shape whether lenders will actually finance a project
· You are visible on execution; Lean teams mean your drafting, coordination, and judgment show up in the live deal
About the firm
This is a leading AmLaw platform with a recognized project finance practice advising repeat institutional players across the energy transition.
The team works across high-volume, portfolio-driven transactions for infrastructure funds, private equity sponsors, lenders, and developers, delivering consistent, execution-focused counsel on financings that move assets from development to operation.
What You Need
· J.D. (Class of 2022-2024) from an ABA-accredited law school
· GPA of 3.4+
· Minimum 2 years' finance experience at an AmLaw ranked firm
· Admission to the New York Bar
· Experience with project finance structures and documentation (construction, term, or back-leverage) is preferred
Hours can fluctuate with live financings and closing timelines, but the responsibility and technical development are meaningful from the outset.
You're not just supporting transactions, you're helping turn renewable projects into financeable, operating assets by enabling the capital behind them to close.
