Finance Associate (ABS, Incl. Esoteric Assets)

Most structured finance attorneys execute. Here you're the architect. You will take illiquid assets, loans, aircraft leases, franchise royalties, cell tower revenues and build the legal structures that transform them into securities investors can hold. First-time deals. Novel asset classes. Legal frameworks that don't exist until you build them. You'll be at the cutting edge of ABS, esoteric ABS, and your input will directly shape the landscape of the global securitization market. What You'll Do * Draft and negotiate the core transaction suite, indentures, sale agreements, servicing agreements, on transactions at the frontier of the market * Structure first-time securitizations of novel asset classes, analyzing legal risk where no precedent exists * Advise issuers, sponsors, banks, and investors simultaneously, managing competing interests across the same transaction * Coordinate tax, insolvency, and regulatory counsel to stress-test every layer of the structure * Manage the full legal mechanics of CLOs, esoteric ABS, and cross-border securitizations in parallel What You'll Need * JD and active U.S. bar admission * Minimum 2 years' structured finance and securitization experience at a law firm, class of 2024 or earlier * A stellar academic record * The ability to work across multiple asset classes and client types without losing precision About the Firm World renowned.
