A highly skilled and commercially minded Private Equity M&A Associate with significant experience advising on complex, high-value transactions at a leading international law firm. Currently based in New York, this attorney has developed deep expertise representing private equity sponsors, portfolio companies, and institutional investors in a wide range of domestic and cross-border transactions. With several years of experience at a globally recognized firm known for its market-leading private equity practice, this associate has worked on leveraged buyouts, carve-outs, growth equity investments, recapitalizations, and exits across various industries, including healthcare, technology, life sciences, and financial services. This individual is valued for their ability to drive deals forward efficiently, manage competing priorities across multiple workstreams, and provide strategic, business-oriented legal counsel. They are adept at negotiating key transaction documents, overseeing due diligence processes, and coordinating with internal and external stakeholders to ensure seamless execution. Key Skills and Experience: * Extensive experience managing private equity M&A transactions, from term sheet through closing. * Proficient in drafting and negotiating purchase agreements, investment documents, equity arrangements, and ancillary deal documents. * Strong understanding of deal structuring, risk allocation, and market trends in sponsor-led transactions. * Demonstrated ability to lead negotiations and liaise directly with clients, opposing counsel, and internal teams. * Comfortable overseeing junior associates and working closely with cross-functional teams, including tax, finance, and regulatory counsel. * Admitted to practice in New York.
