Emerging Companies & Venture Capital Associate (6-8 Years) Location: Flexible (including major innovation and financial centers) A senior-level corporate associate with 6-8 years of relevant experience advising high-growth companies and institutional investors in venture capital financings, general corporate governance, and strategic transactions. This dual-facing role provides the opportunity to represent both company-side and investor-side clients, with a focus on fast-paced, complex transactions in sectors such as AI, fintech, biotech, digital health, and enterprise software. The attorney routinely counsels founders, executive teams, and boards of directors on matters ranging from company formation and equity structuring to growth financings and commercial matters. Additionally, the associate provides strategic support to a wide array of venture capital and growth equity funds in connection with investments, portfolio management, and liquidity events. Key Responsibilities: * Represent startup and emerging growth companies from formation through exit across a broad spectrum of industries * Advise on venture capital financings, SAFEs, convertible notes, and preferred equity financings * Support investor-side clients in early- and late-stage equity financings and secondary transactions * Guide clients on corporate governance, equity compensation, commercial agreements, and fundraising strategy * Collaborate with attorneys across specialties (e.g., tax, IP, employment) to deliver integrated solutions Candidate Profile: * 6-8 years of corporate or ECVC experience from a nationally recognized law firm or boutique * Demonstrated experience handling venture financings, corporate structuring, and strategic advisory matters * Excellent drafting and negotiation skills, with strong attention to detail and the ability to manage client relationships * Deep interest in emerging technologies and the startup ecosystem * Admitted to practice in a U.S. jurisdiction This role offers the opportunity to work with a dynamic team advising some of the most innovative and disruptive companies and funds in the market.
