Position Summary: The firm is seeking a highly motivated 3rd to 6th year associate with significant experience in M&A transactions involving distressed companies to join its New York office. The ideal candidate will have a strong background in complex deal execution, particularly in the context of Chapter 11 processes, §363 sales, and restructuring-related transactions. This is a unique opportunity to work at the intersection of corporate and insolvency law within a fast-paced, team-oriented environment. Key Responsibilities: * Advise clients on acquisitions and divestitures of distressed assets and companies, both in and out of court * Support private equity sponsors, creditors, and strategic buyers in special situations and restructuring-related transactions * Draft and negotiate purchase agreements, restructuring support agreements, DIP and exit financing arrangements, and related deal documentation * Conduct due diligence and assess legal and regulatory risks in distressed or highly leveraged contexts * Collaborate with restructuring, finance, tax, and litigation teams to develop and execute comprehensive transaction strategies Qualifications: * J.D. from a top-tier law school and admission to the New York Bar * 3-6 years of experience in M&A, with a meaningful portion focused on distressed or special situations transactions * Familiarity with bankruptcy processes (especially Chapter 11), §363 sales, and creditor negotiations * Excellent drafting, organizational, and analytical skills * Strong commercial judgment and ability to manage multiple workstreams under tight deadlines Preferred Qualifications: * Experience at a leading corporate or restructuring law firm * Exposure to cross-border insolvencies, distressed financings, or litigation-related transactional work This role is ideal for candidates seeking to broaden their transactional experience by working on complex, distressed deals within a world-class platform that values precision, collaboration, and innovation.
