Position Overview The firm is seeking an experienced Corporate/M&A Associate to work closely with partners and senior attorneys on a broad range of transactional matters. The role involves leading and supporting significant cross-border deals, providing strategic legal guidance, and managing key workstreams across multiple corporate disciplines. Key Responsibilities * Negotiate, draft, and review a wide variety of corporate agreements, including stock purchase agreements, asset purchase agreements, joint venture documents, and related transactional materials. * Conduct legal due diligence for mergers, acquisitions, joint ventures, and other corporate transactions. * Assist in structuring and implementing complex cross-border deals. * Provide corporate governance and general advisory support to both private and publicly listed clients. * Collaborate closely with attorneys across offices and practice areas to deliver seamless client service. * Navigate multi-jurisdictional legal issues and support clients through sophisticated transactional challenges. Qualifications * Juris Doctor (or foreign equivalent) and admission to practice in at least one U.S. jurisdiction. * Minimum of three years of relevant corporate/M&A experience at a law firm with a strong transactional practice. * Strong drafting experience, including stock purchase agreements and other core corporate documents. * Demonstrated ability to provide governance guidance to diverse corporate clients. * Exceptional legal research, analytical, and problem-solving skills. * Ability to manage multiple workstreams, meet deadlines, and communicate effectively in a fast-paced environment. Compensation * Competitive annual salary range of $234,000-$365,000, commensurate with experience and qualifications. * Telecommuting opportunities may be available in accordance with firm policies.
