Position Overview
The firm is seeking a 4th-6th year M&A associate with experience managing sophisticated corporate transactions. The role involves significant responsibility in drafting, negotiating, and executing agreements, managing due diligence, and coordinating cross-functional teams. Candidates should be comfortable working in a high-intensity environment with direct exposure to clients and senior deal partners.
Key Responsibilities

Draft, review, and negotiate M&A documentation, including asset and stock purchase agreements, merger agreements, and ancillary transaction documents.

Conduct and manage comprehensive due diligence processes.

Assist with structuring and executing domestic and cross-border M&A transactions.
*
Provide strategic guidance on corporate governance, regulatory, and commercial issues.

Collaborate with colleagues across practice areas, including finance, tax, and regulatory, to deliver integrated solutions.
*
Interface directly with clients, counterparties, and investment banks on transaction matters.
*
Mentor junior associates and contribute to the development of the practice group.
Qualifications
*
JD from an accredited law school and admission to practice in New York (or eligibility to waive in).

4-6 years of experience in M&A or corporate transactional work at a top-tier law firm.

Strong drafting, negotiation, and analytical skills.
*
Experience with private equity transactions and cross-border matters preferred.

Ability to manage multiple complex matters simultaneously and thrive in a fast-paced, collaborative environment.

Excellent communication skills and commercial judgment.
