A nationally recognized law firm is seeking a talented Associate Attorney with 3-6 years of experience to join its Mergers & Acquisitions practice based in its Chicago office. This position offers the opportunity to work on sophisticated transactional matters for a diverse client base that includes private companies, investors, and private equity sponsors across multiple industries.
Key Responsibilities:

Represent clients in complex mergers, acquisitions, divestitures, and other strategic transactions.

Draft, review, and negotiate a wide range of corporate and transactional documents, including purchase agreements, disclosure schedules, shareholder and operating agreements, and ancillary transaction documents.
*
Assist with due diligence reviews, transaction structuring, and closing coordination.
*
Provide strategic legal advice to clients on corporate governance, entity formation, and other business law matters.
*
Collaborate closely with attorneys across offices and practice areas to deliver comprehensive client service.
Qualifications:
*
J.D. from an accredited law school and active membership (or eligibility for membership) in the Illinois Bar.
*
2-6 years of relevant experience in mergers and acquisitions, ideally gained at a reputable law firm.
*
Prior exposure to private equity and private company transactions is preferred.
*
Strong drafting, analytical, and negotiation skills, with excellent attention to detail.

A proven ability to work collaboratively in a team-oriented, fast-paced environment.
