3rd - 6th year ECVC Associate

A nationally recognized law firm with a strong reputation for advising high-growth companies, investors, and venture capital funds is seeking a mid-level associate to join its Emerging Companies and Venture Capital practice in Northern California. The ideal candidate will have 3-6 years of corporate and transactional experience, with a focus on venture financings, emerging company representation, and general corporate matters. The successful candidate will play a key role in managing deal execution, negotiating and drafting key agreements, and providing strategic guidance to founders, investors, and boards. The role also includes opportunities to mentor and supervise junior associates, making strong leadership and communication skills essential. Key Responsibilities: * Advise emerging companies and venture investors through all stages of growth, from formation and financing to exit. * Draft and negotiate venture financing documents, convertible notes, SAFEs, and other corporate agreements. * Manage transaction processes and coordinate across internal teams and client stakeholders. * Provide practical, business-focused advice on governance, capitalization, and compliance issues. * Supervise, mentor, and train junior attorneys and paralegals. Qualifications: * J.D. from an accredited law school and admission to the California Bar (or eligibility for admission). * 3-6 years of relevant experience in venture capital, emerging companies, or corporate transactional practice. * Excellent drafting, analytical, and communication skills. * Strong organizational skills and the ability to manage multiple projects in a fast-paced environment.
