Capital Markets Associate

Be part of a highly regarded corporate and capital markets team in New York, known for advising on sophisticated securities offerings and complex regulatory matters. The team works with clients across a broad spectrum of capital markets transactions, including IPOs, secondary offerings, PIPE financings, private placements, and SPACs, providing a hands-on, collaborative environment for associates to gain experience across all stages of deal execution. The Corporate Associate will support partners and other attorneys in executing capital markets transactions, assisting clients with compliance under SEC, FINRA, Stock Exchange, and other securities regulations. Responsibilities include drafting and negotiating registration statements, private placement memoranda, purchase agreements, warrants, convertible notes, and related documents; managing deal execution with issuers, investment banks, auditors, and financial advisors; and preparing SEC, FINRA, and stock exchange filings. Associates also participate in entity formations, negotiating organizational documents, and assisting with corporate governance matters. This position is ideal for attorneys with 2-5 years of capital markets experience, strong drafting and analytical skills, and prior exposure to securities offerings. SPAC experience is a plus. Candidates must be admitted to practice in New York and be in good standing with the New York Bar. Excellent communication skills and the ability to manage multiple priorities in a fast-paced environment are essential.
